W. Wade Beavers / Principal/Co-founder

Wade Beavers co-founded Capital Law following successful careers in both law and real estate development. A native Georgian, he began practicing law as an attorney in the commercial real estate section of Smith, Gambrell & Russell in Atlanta, and was a co-founder of a predecessor law firm, Beavers/Rogers Law & Advisory Group, LLC.

Wade left private practice in 2001 to serve as CEO and principal of a regional real estate development and investment firm based in North Atlanta. During his tenure, the firm grew from a small residential developer into a $120 million diversified real estate company with projects in Georgia, South Carolina and Florida.

Wade's practice focuses on real estate finance, development, banking, and investment-property capitalization. He has served as Special Counsel for a regional bank and represents a broad range of borrowers, investors and lenders in complex transactions ranging from portfolio restructurings to venture capital start-ups.

Wade received his undergraduate degree from Georgia Tech (B.S. magna cum laude, 1988) and his graduate degrees from the University of Georgia Terry School of Business (M.B.A., 1990) and the University of Georgia School of Law (J.D., cum laude 1993).

Wade has served as board chairman or director of several local and regional organizations, including Lanier Community Bank, Conscience International, Lakeview Academy, Council for Quality Growth, Bank of North Georgia (Associate Director), the Greater Hall Chamber of Commerce, the Gwinnett Chamber of Commerce, the Gwinnett Environmental & Heritage Center, the Buford Youth Community Center, and Georgia Mountains YMCA.

William S. Rogers / Principal/Co-founder

Bill began his legal career in 1985 at the Atlanta-based national law firm of Smith, Gambrell & Russell, LLP (“SGR”), in the commercial real estate section. Over the course of his tenure with the firm, Bill’s practice included multi-state construction and permanent lending for large regional and national banks, multi-family and other general commercial acquisitions and development projects (also on a multi-state basis), commercial leasing (industrial, retail and office), non-judicial foreclosures, and workouts. Transactions included several multi-million dollar and multi-state leveraged buy-outs and sale/leasebacks. Bill also served as outside general counsel-real estate for a leading national furniture retailer, handling all of their real estate and leasing matters, and also served as outside general counsel for a large regional developer of multi-family, condominium and office projects. In addition, Bill served as the Chairman of the firm’s real estate section firm wide, a 5-year term on the firm’s governing executive committee, and as Managing Partner of the firm’s Jacksonville, Florida office.

Bill left SGR in 2004 to become the General Counsel of a closely-held national real estate investment/development company, and worked closely with senior management and business partners in strategic planning and the overall company decision making process. Bill was responsible for the general oversight of all legal work for the acquisition and financing of over $2 Billion of multi-family and medical related real estate, including the acquisition, conversion and development of apartments and medical office buildings in multiple states. Legal work included purchase and sale agreements, private placements, property management and leasing agreements, brokerage and marketing agreements, partnership development joint ventures, debt and institutional equity placement, non-disclosure and confidentiality agreements, and loan document review and negotiation.

In recent years, with Capital Law and as part of Beavers/Rogers Law & Advisory Group, LLC (its predecessor law firm), Bill has primarily focused on the acquisition, development, leasing and financing of medical, multifamily, and retail properties in the Southeast and in multiple states around and across the country. These transactions have included a number of multiple property portfolio acquisitions and sales in various states.

Bill received his undergraduate degree from University of Georgia (A.B. Economics, 1981) and his graduate degree from University of Georgia School of Law (J.D. cum laude, 1985). Bill is licensed to practice law in Florida and Georgia.

Stephen F. White / Principal/Co-founder

Steve began his legal career in 1982 at the Atlanta-based international law firm of Alston & Bird in the commercial real estate section, and after spending most of his legal career in the confines of large law firms, established SFW Advisors, P.C. in 2010 with a focus on providing expert legal and business advice to a select group of clients to assist them in achieving their business vision and goals. Steve’s collaboration with Wade and Bill in co-founding Capital Law was a natural evolution of his vision of providing excellent value, quality, responsiveness and timely legal and advisory services and experience to each client.

Steve has extensive experience in the areas of finance and commercial real estate, which includes representing (i) private equity funds, REITS, and investors in the acquisition, financing and disposition of commercial real estate throughout the United States; (ii) developers in the construction of office, industrial, multifamily, and retail projects: (iii) financial lending institutions in construction, bridge, revolving and term lending; (iv) landlords and tenants with respect to industrial, office, medical and retail developments; and (v) clients in the provision of general business advice, including entity formation and negotiation.  Steve’s business experience includes providing (i) strategic thinking regarding organizational structure, processes and performance, (ii) legal and risk management advice, counsel and execution, and (iii) leadership in coaching, mentoring and development of talent.

Steve received his undergraduate degree from the University of Georgia (A.B. magna cum laude, 1979) and his graduate degree from the University of Georgia School of Law (J.D. cum laude, 1982).

Steve has served as Chairman of the Georgia State Ethics Commission, as a member of the Board of Directors of the Georgia Chapter of the National Association of Industrial and Office Properties, and as an Advisory Board member of L.E.A.D., a non-profit organization whose mission is to create positive outcomes for at-risk, minority, inner-city youth by leveraging the relationship between education, athletics and service.

Janice R. Long / Senior Paralegal

Over the course of her 45 year career, Jan has been a senior paralegal at the large New York based international law firm of LeBoeuf, Lamb, Greene & MacRae, LLP, and a senior real estate paralegal at the large Atlanta based national law firm of Smith, Gambrell & Russell, LLP, specializing in both residential and commercial real estate.

Jan has served as the Vice President of Due Diligence and Entitlements of a national multifamily and medical acquisition company and developer, where she managed all due diligence related services, including title, survey, zoning, property condition reports and environmental site assessment review. Her responsibilities included establishing and running the closing department of the second-largest condominium converter in the country in 2005 for several years, and she was generally in charge of the entire closing process from start to finish. In connection with this extremely high monthly volume of sales, Jan’s responsibilities included interfacing with buyers, lenders, mortgage companies and title companies through all aspects of the closings, from the contract stage to closing and funding. Her expertise also covers the intricacies of the original formation of the condominium regime, and establishing and running the Homeowner’s Associations which govern condominium and planned unit developments.

Jan has particular expertise in general due diligence coordination and support, third party report review, and title and survey review and analysis for each transaction, and she interfaces directly with the sellers, buyers, third party vendors and title companies in order to evaluate and solve the issues for a successful closing.

In addition to her other duties, Jan oversees the Capital Law title insurance agency.

Kelly S. Kics / Senior Paralegal

Kelly is a paralegal with over 25 years of experience in the legal field. She has been a Certified Paralegal by the National Association of Legal Assistants since 1990 and has an Advanced Certification in Corporate Formations and Probate and Estate Planning. Kelly’s background includes corporate and business formations and qualifications in Georgia, Florida and nationwide, preparation of corporate resolutions, shareholder agreements and annual reports, and general corporate and business transactional work, Rule 506 security filings, legal research and public record searches of individuals and businesses, licensing filings with the Florida Department of Business and Professional Regulations and other state licensing agencies, construction lien law notices and filings, and commercial and residential leases. Kelly also has a background in federal estate taxation, probate and trust administration, and estate planning. Kelly has vast experience and expertise in entity formation and qualifications in multiple states, including familiarity with the nuances in many states that can save enormous time and money for the client.

Damita Hamilton / Senior Paralegal

Damita has over 25 years experience in real estate and finance transactions, including over 20 years in-house with prominent construction firms in the Southeast. Her background includes extensive work in accounting and operations in addition to legal due diligence and documentation. Her responsibilities include primary contact with lenders, landlords, tenants, and investors in matters relating to sales contracts, loan documentation, title review and remediation, entity organization, property taxes and accounting reconciliation. Damita has served as lead paralegal on a $65,000,000.00 debt restructuring and managed documentation and due diligence on multi-parcel assemblage transactions. She regularly works with client staff to track and manage due diligence projects and develop best-management practices. Damita has been with Capital Law since 2010.
